User Agreement (Terms of Use)
PAYSTO is a platform for managing sales on the Internet. We are pleased to offer you the infrastructure for selling your goods and services, including payment processing from individuals and legal entities. Paysto provides its services in full compliance with the requirements of Russian legislation. As a universal business platform, PAYSTO operates according to certain rules, the goal of which is to achieve mutual understanding between the PAYSTO Administration and its users, so you must carefully read the terms of this agreement.

1. General Provisions
- This PAYSTO User Agreement (hereinafter – the Agreement, the Rules) establishes the procedure and conditions for using all products, services, and functions of the PAYSTO business platform (hereinafter – PAYSTO).
- The Agreement is developed in accordance with the current legislation of the Russian Federation. All relations arising in connection with the use of PAYSTO are governed by the current legislation of the Russian Federation, unless otherwise explicitly stated in the Agreement itself or its appendices.
- PAYSTO DOES NOT PURSUE THE GOAL OF CONDUCTING BANKING ACTIVITIES AND/OR PROVIDING BANKING SERVICES. THE PAYSTO PLATFORM IS NOT INTENDED AND CANNOT BE USED AS A TOOL FOR MANAGING FINANCIAL ASSETS, AND THE PAYSTO ADMINISTRATION IS NOT RESPONSIBLE FOR THE LOSS OF FUNDS PLACED ON THE USER'S INTERNAL BALANCE.
- The following terms and definitions are used in this Agreement:
- PAYSTO – The platform for managing sales on the Internet, including the entire set of software and hardware tools that provide the functionality and capabilities described in this Agreement.
- Administration – Individuals authorized by PAYSTO to manage the platform and resolve issues related to its use.
- User – Any individual or legal entity that has completed the registration procedure and uses the services of PAYSTO.
- Internal Balance – The nominal value of the User's rights to receive funds owed to them from transactions conducted through PAYSTO. The Internal Balance is not a bank deposit or a bank account.
- Third Parties – Any persons other than the User and the Administration.
- Personal Account – The section of PAYSTO available to the User after registration and authorization, containing personal data and tools for managing sales, payments, and the Internal Balance.
- Transaction – A complete cycle of interaction between the User and a Third Party for the sale of goods or services through the PAYSTO infrastructure, including payment processing.
- By starting to use PAYSTO or any of its specific functions, the User is considered to have accepted the terms of the Agreement in full, without any reservations or exceptions. If the User disagrees with any of the provisions of the Agreement, the User may not use PAYSTO.
- The Administration has the right to amend this Agreement at any time. The new version of the Agreement comes into force from the moment it is published on the PAYSTO website, unless otherwise specified in the new version of the Agreement. The current version of the Agreement is always located at [link to the agreement].
- The User is responsible for regularly reviewing the terms of the Agreement. Continued use of PAYSTO after changes have been made means the User's agreement with the changes.
- The services provided by PAYSTO are intended for Users who have reached the age of 18 and have full legal capacity. For legal entities, use is permitted by authorized representatives.
- PAYSTO is provided "as is". The Administration does not guarantee that PAYSTO or any of its elements will function without errors, continuously, or meet the specific goals and expectations of the User.
2. User Registration and Authorization
- Registration on PAYSTO is voluntary and is carried out by filling out the established form.
- The User is obliged to provide accurate and complete information about themselves during registration and to keep this information up-to-date.
- The Administration reserves the right, at any time, to request confirmation of the data specified during registration and to restrict or terminate access to PAYSTO if the data provided is inaccurate or incomplete.
- The User is solely responsible for the security of the chosen login and password, and also for all actions performed on PAYSTO under the User's account.
- The User is obliged to immediately notify the Administration of any unauthorized (unauthorized by the User) access to PAYSTO using the User's account and/or any violation of security.
3. Rules of Use
- The User has the right to use the full functionality of PAYSTO solely for the purposes specified in this Agreement and in compliance with all current legislation of the Russian Federation.
- The User is prohibited from using PAYSTO for illegal purposes, including, but not limited to:
- Conducting transactions related to prohibited goods or services.
- Money laundering or financing terrorism.
- Distribution of malicious software or performing actions aimed at disrupting the operation of PAYSTO.
- Unauthorized collection or processing of personal data of third parties.
- The User must ensure that their activities and the goods/services sold through PAYSTO comply with the requirements of the legislation of the Russian Federation, including requirements for licensing, certification, taxation, and consumer protection.
- The User is fully responsible for the content, quality, and legality of the goods/services sold through PAYSTO.
- The Administration has the right to monitor the activity of the User and, in case of suspicion of violation of the Agreement or legislation, unilaterally restrict or terminate access to PAYSTO.
4. Financial Transactions and Internal Balance
- PAYSTO acts as an intermediary in processing payments and does not bear responsibility for disputes between the User and Third Parties regarding the quality of goods or services.
- The Administration calculates funds received for the User's goods/services to the Internal Balance.
- The funds accumulated on the Internal Balance can be withdrawn by the User to a bank account or card according to the procedure and terms established by PAYSTO.
- The User is responsible for timely payment of all taxes and fees arising from the use of PAYSTO.
- PAYSTO reserves the right to withhold a commission from the amounts received for services rendered. The commission rates are specified in the "Tariffs" section of the Personal Account.
- In case of legal claims, disputes, or violations of the Agreement, the Administration has the right to temporarily block the Internal Balance or withhold funds to cover fines or damages.
5. Processing of Personal Data
- By using PAYSTO, the User consents to the collection, storage, processing, and transfer of personal data in accordance with the legislation of the Russian Federation and the PAYSTO Privacy Policy.
- The purpose of processing personal data is to provide the full functionality of PAYSTO and to fulfill the requirements of current legislation (including fiscalization, document flow, and reporting).
- The User confirms that they have all the necessary legal grounds to transfer the personal data of their clients (Third Parties) to PAYSTO for processing.
6. Intellectual Property
- All elements of PAYSTO, including software, design, databases, and other intellectual property objects, are the exclusive property of the PAYSTO Administration or its licensors.
- The User is granted a non-exclusive, non-transferable right to use PAYSTO solely for the purposes of this Agreement.
- The User is prohibited from copying, modifying, distributing, or using the intellectual property objects of PAYSTO for purposes not directly provided for by this Agreement.
7. Responsibility of the Parties
- The Parties are responsible for non-fulfillment or improper fulfillment of their obligations under this Agreement in accordance with the legislation of the Russian Federation.
- The Administration is not responsible for:
- Technical failures caused by third parties (internet providers, payment systems, banks).
- Interruptions in the operation of PAYSTO if they were caused by circumstances beyond the Administration's control (force majeure).
- The content and legality of the goods/services sold by the User.
- Damages incurred by the User due to unauthorized access to their Personal Account, if the Administration was not notified in a timely manner.
- The total liability of the Administration to the User for any claims is limited to the amount of commissions received by the Administration from the User during the last month.
8. Term of the Agreement and Termination
- The Agreement comes into force from the moment the User accepts its terms (registration) and is valid indefinitely.
- The User has the right to terminate the use of PAYSTO at any time by sending a corresponding notification to the Administration.
- The Administration has the right to unilaterally terminate the Agreement or restrict the User's access to PAYSTO in case of violation of the terms of the Agreement, current legislation, or actions causing damage to PAYSTO or its reputation.
- Termination of the Agreement does not release the Parties from obligations that arose during the period of its validity.
9. Dispute Resolution
- All disputes and disagreements arising between the Parties regarding the execution of this Agreement shall be resolved through negotiations.
- The mandatory pre-trial claim procedure for dispute resolution is established. The claim must be sent by registered mail or email to the addresses specified in this Agreement. The response period for the claim is 30 (thirty) calendar days.
- If disputes cannot be resolved through negotiations or the claim procedure, they shall be subject to resolution in the court at the location of the PAYSTO Administration in accordance with the legislation of the Russian Federation.
10. Force Majeure
- The Parties are released from liability for full or partial non-fulfillment of obligations under this Agreement if this was the result of force majeure circumstances (fire, flood, earthquake, military actions, government decisions, etc.) that occurred after the conclusion of the Agreement and which the Parties could not foresee or prevent.
- The Party for whom it became impossible to fulfill obligations due to force majeure must immediately (within 5 working days) notify the other Party in writing.
11. Notifications and Communication
- All notifications, appeals, and documents between the Parties shall be carried out by sending a registered letter or by email to the addresses specified in the Personal Account (for the User) and on the PAYSTO website (for the Administration).
- The User agrees to receive informational and marketing messages from the Administration to the email address and phone number specified during registration.
12. Transfer of Rights
- The User does not have the right to transfer their rights and obligations under this Agreement to third parties without the prior written consent of the Administration.
- The Administration has the right to transfer its rights and obligations under this Agreement to third parties, subject to compliance with the terms of the Agreement for the User.
13. Confidentiality
- The Parties undertake not to disclose confidential information received during the execution of this Agreement to third parties, except in cases provided for by the legislation of the Russian Federation.
- Confidential information includes all non-public information related to the business processes, technology, clients, and financial results of the Parties.
14. Acceptance
- Use of PAYSTO, including but not limited to registration, authorization, or conducting a Transaction, confirms the User's full and unconditional acceptance of the terms of the Agreement, agrees with them, and they are mandatory for the User to comply with.
15. Final Provisions
- The rules of this agreement are developed and applied in accordance with the legislation of the Russian Federation. Issues not regulated by these Rules shall be resolved in accordance with the legislation of the Russian Federation.
- These Rules are compiled in Russian and are the main version. Rules set forth in another language are an additional version. In case of discrepancy between the Russian version of the Rules and the version of the Rules in another language, the provisions of the Russian version of these Rules shall apply.
- The invalidity of an individual provision of the Rules does not entail the invalidity of the rest of the Rules.
- In case of disputes or disagreements related to the execution of these Rules, the Participants and the PAYSTO Administration shall make every effort to resolve them through negotiations between them. In the event that disputes are not resolved through negotiations, the disputes shall be subject to resolution in the manner established by the current legislation of the Russian Federation.
- Appeals and suggestions from individuals and legal entities to the PAYSTO Administration on any issues related to the functioning of the PAYSTO platform, violations of the rights and interests of third parties, as well as requests from bodies authorized by the legislation of the Russian Federation should be sent by email to legal@paysto.com
